Diverse Academies Trust would like to recruit two non-executive directors and one member onto its expanding board. The Trust comprises a group of fourteen primary and secondary academies located in the East Midlands, and is committed to development and improvement through strong collaboration and partnership. Board meetings are held in the Nottinghamshire area.

About the trust

Diverse Academies Trust (DAT) is the major Trust in the Diverse Academies Learning Partnership (DALP) which allows a Church of England single academy to work closely with non-church academies. The roles advertised through Academy Ambassadors would be for DAT. The DAT Board is accountable to its members and the Secretary of State (as are all other academy trusts); it is not legally accountable to DALP. The trust anticipates that it will continue to grow to include up to 30 academies - provided that there is an appropriate balance of secondary and primary, and successful schools and those that require improvement.

The trust is currently made up of fourteen academies. This includes seven secondary academies – for those aged 11 to 19; five primary schools – for early years to Key Stage 2 and two special schools, one of which is for early years to KS2 and the other is for students from 3 to 19 years of age. The Trust also has one shared sixth form provision - Hucknall Sixth Form College - formed between the National Church of England Academy, The Holgate Academy and Queen Elizabeth’s Academy.

Plans for the Future

The key challenges for the board over the next 12-24 months are:

  1. To successfully develop and embed our education and corporate functions in preparation for our next growth phase.
  2. To ensure the continued improvement of all existing academies within the group
  3. To operate successfully within financial constraints

The trust aims to duplicate the Diverse Academies Learning Partnership model by creating additional regional hubs in new areas.

Roles 1 and 2 – Trustee/Non-Executive Director

Trustees – or non-executive directors - are both charity trustees and company directors of the academy trust; the role is to hold to account the executive and senior leadership team. The board of trustees manages the business of the academy trust and may exercise all the powers of the trust. The trustees ensure compliance with the trust’s charitable objects and with company and charity law.

Non-executive directors will be responsible for maintaining stability during a period of rapid growth and the management of a dynamic structure. The role also includes contributing to financial planning for sustainability and growth, and holding the CEO/CFO to account.

Person Specification

The Trust is looking for someone with a Finance/|Risk background, ideally coupled with a knowledge of audit. This individual will be equipped to support the trust on its processes, policies and risk management.

Time Commitment

Six full board meetings per academic year, two hours each. Three additional committee meetings per academic year.

The trust is looking for someone with a legal/compliance/HR background.

Time Commitment

6 full board meetings per academic year, two hours each. Additionally 3 committee meetings per academic year hours per month (minimum).

 

Role 3 – Member

A member is able to alter the trust’s Articles of Association and appoint (or remove) trustees/directors where necessary. They provide independent oversight to the work of the board of trustees in order to ensure suitable accountability for its decision making and strategy. At Diverse Academies Trust the members are expected to be signatories for the academy trust, to attend up to three meetings per year, and to add to the already broad skillset within the existing team of members.

Person Specification

With an interest in education and ideally governance/strategy planning experience in a nonexecutive director/trustee role, candidates need to demonstrate experience at a senior manager/director level in the private, charity or public sector. Members must act honestly, diligently and in good faith.

Time Commitment

Members are asked to attend one AGM per academic year. Once more members are appointed, this may increase and be up to three meetings a year.

Background on Academy Trusts

Academy schools, which are charities run independently of local authority control, now account for 73% of secondary schools and 29% of primaries – and their number is growing all the time.

Many of these schools are grouped together as multi-academy trusts (MATs). There are currently 760 multi academy trusts of 3+ schools.  If the schools are to fulfil their potential, the trusts need non-executives (known in charity law as trustees) to bring a wide range of skills and experience to help guide strategy, ensure their ambitions can be soundly financed and keep their schools up to the mark delivering for their pupils.
